These Terms of Use (the “Terms”) govern your access to and use of The Speculator, including thespeculator.ca and any related websites, applications, tools, databases, dashboards, screeners, company profiles, research pages, alerts, communications and services operated by The Speculator Intelligence Inc. (collectively, the “Platform”).

Throughout these Terms, “The Speculator,” “we,” “us,” and “our” refer to The Speculator Intelligence Inc.

Please read these Terms carefully.

By accessing, browsing, creating an account on or otherwise using the Platform, you acknowledge that you have read, understood and agree to be bound by these Terms.

If you do not agree with these Terms, you must not use the Platform.

1. ABOUT THE SPECULATOR

The Speculator is an information and research platform focused primarily on companies operating in the mining, mineral exploration, natural resources and related sectors.

The Platform may organize and present information including, without limitation:

public company information;
securities and market data;
commodity information;
company filings;
financial information;
mineral resource and mineral reserve information;
technical study information;
project economics;
jurisdiction information;
corporate presentations;
news releases;
regulatory filings;
ownership information;
management information;
company developments;
project milestones;
catalysts;
risks;
screeners;
rankings;
quantitative indicators;
market statistics;
technical indicators;
watchlists;
alerts;
summaries;
calculated metrics;
research tools; and
other financial, geological, corporate or market-related information.

The Speculator is intended to make publicly available information easier to discover, organize, compare and research.

The Speculator is not a broker, dealer, investment adviser, portfolio manager, financial planner, securities exchange, credit rating agency or investment fund.

2. ACCEPTANCE OF THESE TERMS

By using the Platform, you represent that you have the legal capacity to enter into these Terms. Where an account is required, you must be the age of majority in your jurisdiction of residence to create and independently operate an account unless otherwise permitted by applicable law. If you use the Platform on behalf of a corporation, organization or other legal entity, you represent that you have authority to bind that entity to these Terms. Your continued use of the Platform constitutes acceptance of the version of these Terms then in effect.

3. INFORMATIONAL AND RESEARCH PURPOSES ONLY

All information available through The Speculator is provided for general informational, research and educational purposes only.

Nothing available through the Platform constitutes or should be interpreted as:

investment advice;
financial advice;
trading advice;
tax advice;
accounting advice;
legal advice;
geological advice;
engineering advice;
a securities recommendation;
personalized investment advice;
a recommendation to purchase, hold or sell any security;
an offer to purchase or sell securities;
a solicitation of an offer to purchase or sell securities;
a representation that any investment is suitable for any particular person; or
a guarantee or prediction regarding the future performance of any company, security, commodity, project or market.

The Speculator does not consider your individual investment objectives, financial circumstances, risk tolerance, investment horizon, tax position or other personal circumstances.

You should consult appropriately qualified professional advisers where required.

4. NO INVESTMENT RECOMMENDATION

The presence, absence, position or presentation of a company or security on the Platform does not constitute an endorsement or recommendation.

Features such as:

screeners;
rankings;
trending lists;
momentum indicators;
technical indicators;
quantitative scores;
valuation metrics;
filters;
watchlists;
catalyst lists;
risk classifications;
company comparisons;
statistical calculations; and
algorithmically generated results are research tools only.

A high ranking, favourable score, identified trend, unusual trading activity, upcoming catalyst or other indicator does not mean that The Speculator recommends purchasing a security.

Similarly, a low ranking, identified risk, negative indicator or declining metric does not constitute a recommendation to sell or avoid a security.

Users must independently determine the relevance and significance of all information presented through the Platform.

5. DATA ACCURACY, ERRORS AND USER DUE DILIGENCE

The Speculator compiles, organizes, calculates, extracts, classifies and summarizes information obtained from numerous public and third-party sources. These sources may include, among others:

issuer filings;
securities regulatory databases;
technical reports;
financial statements;
management discussion and analysis;
corporate presentations;
press releases;
issuer websites;
stock exchanges;
regulatory authorities;
government databases;
market-data providers;
news organizations;
third-party databases; and
other publicly available materials.

While The Speculator seeks to provide useful and reasonably accurate information, we do not warrant or guarantee that information available through the Platform is accurate, complete, current, correctly interpreted or free from errors.

Information displayed through the Platform may be:

incomplete;
delayed;
outdated;
incorrectly categorized;
incorrectly calculated;
incorrectly extracted;
incorrectly converted between currencies or units;
duplicated;
omitted;
based on stale source material;
associated with an incorrect company, project or security;
incorrectly summarized;
misinterpreted;
misrepresented; or
otherwise inaccurate.

Your acknowledgement

By using The Speculator, you expressly acknowledge and agree that information presented through the Platform may contain errors, omissions, inaccuracies or misrepresentations and that you are responsible for independently verifying material information before relying upon it.

You agree that: 1. The Speculator should not be treated as the authoritative or primary source for company, financial, geological, technical, regulatory or securities information; 2. information on the Platform may differ from the information contained in an issuer's original records or official disclosures; 3. you are solely responsible for conducting your own research and due diligence before making an investment, trading, financial or other decision;

4. you should verify material information directly against applicable original sources, including issuer financial statements, technical reports, management discussion and analysis, regulatory filings, press releases, securities filings and other primary-source documentation;

6. you should not rely solely upon any summary, calculation, score, estimate, ranking, alert, screener result, classification or other information provided through The Speculator when making an investment decision; and where information presented through The Speculator conflicts with an original regulatory filing, issuer filing or other authoritative primary-source document, the original source should be relied upon;

7. you assume responsibility for determining the accuracy, relevance and suitability of information obtained through the Platform.

The Speculator is designed to assist with research discovery and organization, not to replace independent due diligence.

6. ARTIFICIAL INTELLIGENCE AND AUTOMATED PROCESSING

Certain information available through The Speculator may be collected, extracted, processed, categorized, compared, summarized, calculated or generated using:

artificial intelligence;
machine-learning models;
natural-language processing;
automated data extraction;
computer algorithms;
third-party software;
automated classification systems; or
other computational techniques.

These systems may make mistakes.

Automated systems may misunderstand source documents, extract incorrect figures, associate information with the wrong category, omit relevant qualifications or context, produce inaccurate summaries or otherwise generate incorrect results.

AI-generated or AI-assisted information must not be assumed to be accurate merely because it is presented confidently or appears alongside verified information.

Users should review original source documents before relying upon material information produced or processed through automated systems.

Labels such as “verified,” “source verified,” “regulator verified,” “confidence,” or similar terminology, where used, indicate only the verification methodology adopted by The Speculator. Such labels do not constitute a warranty, certification or guarantee of accuracy.

7. MINING AND TECHNICAL INFORMATION

Mining and mineral exploration information is inherently uncertain.

Information concerning:

mineral resources;
mineral reserves;
grades;
tonnage;
metallurgy;
recovery rates;
mine life;
production estimates;
capital expenditures;
operating costs;
all-in sustaining costs;
cash costs;
net present value;
internal rate of return;
commodity-price assumptions;
discount rates;
exploration targets;
drilling results;
geological interpretations;
preliminary economic assessments;
prefeasibility studies;
feasibility studies; and
other project economics may depend upon assumptions, estimates and technical judgments that can change materially.

Historical estimates, exploration targets and mineral resources may not constitute mineral reserves and may never result in economically recoverable material.

The Speculator does not independently conduct geological, engineering or technical verification of issuer projects unless expressly stated otherwise.

Users should consult the applicable original technical report and qualified professional advisers when evaluating technical information.

8. MARKET DATA AND PRICES

Market quotations, securities prices, commodity prices, market capitalization figures, volume information, currency exchange rates and similar information may be supplied by third parties and may be delayed, incomplete or inaccurate.

Unless expressly stated otherwise, information displayed by The Speculator should not be assumed to constitute real-time market data.

Displayed prices may differ from executable prices available through a securities dealer, broker, exchange or other trading venue.

The Speculator is not responsible for trading losses resulting from reliance on delayed, inaccurate or unavailable market data.

9. FORWARD-LOOKING INFORMATION

The Platform may reproduce, summarize or identify forward-looking information published by issuers or other sources.

Forward-looking information may concern matters such as:

future production;
project development;
exploration;
financing;
permitting;
construction;
costs;
commodity prices;
economic returns;
acquisitions;
timelines; or
corporate strategy.

Such information involves assumptions, risks and uncertainties. Actual events and results may differ materially from expectations.

The inclusion of forward-looking information on The Speculator does not mean that The Speculator endorses, verifies or adopts the underlying assumptions or conclusions.

10. INVESTMENT RISK

Investing and trading involve risk.

Companies operating in the mining and mineral exploration industries may involve particularly significant risks, including:

commodity-price volatility;
geological uncertainty;
exploration failure;
development risk;
financing risk;
dilution;
construction risk;
operational risk;
permitting risk;
environmental risk;
political and jurisdictional risk;
Indigenous consultation and rights considerations;
regulatory risk;
currency risk;
liquidity risk;
management risk;
technological risk; and
substantial securities-price volatility. have limited trading liquidity.

Junior mining and exploration securities may experience significant price movements and may You may lose some or all of the money invested in securities discussed or displayed on the Platform.

Past performance is not indicative of future results.

11. NO DUTY TO UPDATE

Information may become inaccurate after it is collected or published.

Except where required by applicable law, The Speculator has no obligation to:

continuously monitor information;
immediately update information;
correct every error;
update every company following a new filing;
remove obsolete information immediately; or
notify users when previously displayed information changes.

Publication dates, source dates and effective dates should be considered when evaluating information.

12. THIRD-PARTY INFORMATION

Much of the information available through the Platform originates from third parties.

The Speculator does not control such third parties and is not responsible for errors, omissions, interruptions, modifications or inaccuracies originating from third-party sources.

References to, quotations from or links to third-party materials do not constitute endorsement of those materials or their publishers.

Third-party content remains subject to applicable intellectual-property rights and the terms imposed by its respective owners.

13. EXTERNAL LINKS

The Platform may contain links to external websites or resources, including issuer websites, regulatory databases, news organizations and other third parties. External websites are not controlled by The Speculator. We make no representation concerning and accept no responsibility for the availability, security, accuracy, legality, privacy practices or content of third-party websites.

Accessing external websites is at your own risk and may be subject to separate terms and privacy policies.

14. USER ACCOUNTS

Certain Platform features may require an account.

You agree to:

provide reasonably accurate registration information;
maintain the confidentiality of your account credentials;
take reasonable measures to prevent unauthorized account access; and
promptly notify us if you believe your account has been compromised.

You are responsible for activity conducted through your account to the extent permitted by applicable law.

You may not sell, transfer, share or commercially distribute account access without our written permission.

We may suspend or restrict an account where we reasonably believe it is being used fraudulently, unlawfully or contrary to these Terms.

15. WATCHLISTS, ALERTS AND PERSONALIZATION

The Platform may allow users to create watchlists, filters, alerts or other personalized research configurations.

The inclusion of a company or security in a watchlist or alert does not constitute an investment recommendation by The Speculator.

Alerts may be delayed, incorrect, duplicated or not delivered.

Users should never depend upon The Speculator alerts as their sole method of monitoring an investment, regulatory filing, market price, risk event or other time-sensitive matter.

16. INTELLECTUAL PROPERTY

The Platform and its original content, design and functionality are owned by or licensed to The Speculator Intelligence Inc., except for third-party materials and information belonging to their respective owners.

Protected elements may include, without limitation:

The Speculator name and branding;
logos;
user-interface designs;
graphics;
software;
source code;
database architecture;
database organization;
proprietary classifications;
original written material;
methodologies;
scoring systems;
compilations;
research presentation;
original analysis; and
other proprietary elements of the Platform.

Nothing in these Terms transfers ownership of our intellectual property to you.

17. PERMITTED USE

Subject to these Terms, The Speculator grants you a limited, non-exclusive, non-transferable and revocable right to access and use the Platform for lawful personal or internal research purposes.

Unless we provide written authorization, you may not reproduce, distribute, commercially exploit or create a competing database or service using substantial portions of the Platform. Reasonable personal use, research and citation of publicly available underlying information are not intended to be restricted by this section. Nothing in these Terms gives The Speculator ownership over facts or third-party information that we do not otherwise own.

18. PROHIBITED USE

You may not use the Platform to:

violate applicable law;
gain unauthorized access to systems or accounts;
interfere with Platform security or operation;
intentionally introduce malicious code;
bypass technical access restrictions;
impersonate another person or organization;
use automated systems in a manner that materially impairs the Platform;
systematically copy or extract substantial portions of our proprietary database, organization or presentation for redistribution or competing commercial use;
resell access to the Platform without authorization;
misrepresent The Speculator content as your own proprietary research;
remove copyright, attribution or proprietary notices where applicable; or
use the Platform for fraudulent or abusive purposes.

We may employ reasonable technical measures to prevent prohibited activity.

19. USER FEEDBACK AND ERROR REPORTS

Users may submit feedback, corrections, suggestions or reports concerning information appearing on the Platform.

If you submit feedback or a correction, you grant The Speculator permission to review, investigate, reproduce and use that submission for purposes of operating, correcting or improving the Platform.

Submitting a correction does not obligate us to adopt it.

We may request supporting primary-source documentation before modifying information.

20. PLATFORM AVAILABILITY

We do not guarantee uninterrupted access to the Platform.

The Platform may occasionally be unavailable because of:

maintenance;
technical failures;
third-party outages;
data-provider interruptions;
security incidents;
software updates;
infrastructure problems; or
circumstances beyond our reasonable control.

We may modify, suspend, discontinue or replace any part of the Platform at any time, subject to applicable law.

21. CHANGES TO FEATURES AND SERVICES

The Speculator is an evolving platform.

We may add, remove or modify functionality, data sources, methodologies, research tools, coverage, company information and other Platform features.

We may also introduce paid products or subscription services in the future.

Paid services may be governed by additional terms, pricing disclosures and cancellation conditions presented before purchase.

22. DISCLAIMER OF WARRANTIES

To the maximum extent permitted by applicable law, the Platform and all information available through it are provided on an “as is” and “as available” basis.

The Speculator Intelligence Inc. does not represent or warrant that:

the Platform will always be available;
information will always be accurate;
information will always be complete;
information will always be current;
defects will always be corrected;
third-party information will be accurate;
automated or AI-generated information will be correct;
any security will achieve a particular result; or
use of the Platform will result in investment profits or prevent investment losses.

Nothing in these Terms excludes warranties, guarantees or statutory rights that cannot legally be excluded.

23. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, The Speculator Intelligence Inc. and its directors, officers, employees, contractors, service providers and agents will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages arising from or relating to your use of or inability to use the Platform.

This includes, without limitation and to the extent permitted by law:

investment losses;
trading losses;
lost profits;
lost opportunities;
loss of data;
losses resulting from inaccurate information;
losses caused by delayed information;
losses arising from AI-generated or automatically extracted information;
losses resulting from third-party data;
losses caused by service interruptions; or
decisions made in reliance upon information available through the Platform.

You acknowledge that investment and trading decisions are made independently by you and at your own risk.

To the maximum extent permitted by applicable law, where The Speculator Intelligence Inc. is found liable notwithstanding these Terms, our aggregate liability arising from or relating to your use of the free Platform will be limited to CAD $100.

This limitation does not apply where liability cannot legally be excluded or limited.

Nothing in these Terms excludes liability for fraud, wilful misconduct or any other liability that applicable law prohibits us from excluding.

24. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless The Speculator Intelligence Inc. and its directors, officers, employees and agents from third-party claims, damages, liabilities and reasonable costs arising directly from:

your unlawful use of the Platform;
your material violation of these Terms;
your infringement of another person's intellectual-property rights; or
fraudulent or malicious activity conducted through your account.

This section does not require you to indemnify The Speculator for losses caused by The Speculator's own conduct where such an obligation would be prohibited by law.

25. PRIVACY

Your use of the Platform is also subject to our Privacy Policy.

The Privacy Policy describes how The Speculator Intelligence Inc. collects, uses, discloses and protects personal information.

The Privacy Policy forms part of the legal framework governing your use of the Platform but is maintained as a separate document. Questions concerning privacy may be directed to:

26. SUSPENSION AND TERMINATION

We may suspend, restrict or terminate access to the Platform where we reasonably believe that:

these Terms have been materially violated;
an account is being used fraudulently;
Platform security is threatened;
use is unlawful;
continued access could harm The Speculator, its users or third parties; or
suspension is otherwise reasonably necessary to protect the Platform. immediate action is necessary for security, legal or abuse-prevention reasons.

Where reasonably practicable, we may provide notice before terminating an account unless You may stop using the Platform at any time.

27. CHANGES TO THESE TERMS

We may update these Terms from time to time to reflect:

changes to the Platform;
new products or services;
changes in law or regulation;
changes in our business practices;
new risks; or
other operational requirements.

The effective date at the top of these Terms will identify the latest revision.

Where a change is material, we may provide additional notice through the Platform, by email or by another reasonable method. Your continued use of the Platform after updated Terms become effective constitutes acceptance of those Terms to the extent permitted by applicable law.

28. GOVERNING LAW

These Terms and your use of the Platform are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.

Subject to any rights that cannot legally be waived, disputes arising from these Terms or the Platform shall be submitted to the courts of competent jurisdiction in Ontario, Canada. Nothing in this section limits consumer or other statutory rights that applicable law provides and that cannot legally be waived.

29. SEVERABILITY

If any provision of these Terms is determined to be invalid, illegal or unenforceable, that provision will be interpreted or limited to the minimum extent necessary to make it enforceable where possible.

The remaining provisions will continue in full force and effect.

30. NO WAIVER

If The Speculator Intelligence Inc. does not enforce a provision of these Terms on one occasion, that does not constitute a waiver of our right to enforce that provision or another provision in the future.

31. ENTIRE AGREEMENT

These Terms, together with any policies or supplemental terms expressly incorporated into them, constitute the agreement between you and The Speculator Intelligence Inc. concerning your use of the Platform.

Where additional terms apply to a specific service or feature, those additional terms will govern that service or feature to the extent of any inconsistency.

BY USING THE SPECULATOR, YOU ACKNOWLEDGE THAT THE PLATFORM IS A RESEARCH AND INFORMATION TOOL; THAT INFORMATION MAY BE INCOMPLETE, DELAYED, INCORRECT, MISINTERPRETED OR MISREPRESENTED; THAT AUTOMATED AND ARTIFICIAL-INTELLIGENCE SYSTEMS MAY PRODUCE ERRORS; THAT THE SPECULATOR DOES NOT PROVIDE INVESTMENT ADVICE OR RECOMMENDATIONS; AND THAT YOU ARE RESPONSIBLE FOR CONDUCTING YOUR OWN INDEPENDENT DUE DILIGENCE AND VERIFYING MATERIAL INFORMATION AGAINST ORIGINAL COMPANY FILINGS, TECHNICAL REPORTS, FINANCIAL STATEMENTS, NEWS RELEASES, REGULATORY DISCLOSURES AND OTHER PRIMARY SOURCES BEFORE MAKING ANY INVESTMENT OR TRADING DECISION.
